Terms of Service

The agreement governing Opright accounts, workspaces, subscriptions, and use of the service.

Last updated Content version 2026-09-16.a786aebeEffective September 16, 2026

These Terms of Service (the “Terms”) are a binding agreement between you and Opright (“Opright,” “we,” “us,” or “our”). By creating an account, accepting an invitation, or using Opright, you agree to these Terms.

1. Eligibility and authority

A business account must be created or approved by a person who is at least 18 years old and authorized to act for the business. A person under 18 may use Opright only as an authorized workspace member under the direction and approval of an authorized adult. A minor may not activate a paid subscription, accept a payment-provider agreement, or represent that they are an adult.

If you use Opright for an organization, “you” includes that organization, and you represent that you can bind it to these Terms.

2. Accounts and workspaces

  • Provide accurate information, protect credentials, and promptly report suspected unauthorized access.
  • Workspace owners control membership, roles, permissions, business settings, and workspace data. Members must follow the owner’s lawful instructions.
  • You are responsible for activity performed through your account, except activity caused by Opright’s failure to use reasonable safeguards.
  • Do not share customer-portal capability links publicly. Anyone holding a valid link may be able to view the records the link permits.

3. The service

Opright provides software for field-service operations. Features may include scheduling, customer records, employee access, quotes, invoices, payment links, reports, notifications, support, and an AI-assisted help feature called Opright Guide. Opright is not the field-service provider, employer, payroll provider, accountant, tax adviser, insurer, bank, or escrow service for a workspace.

We may improve, add, or retire features. We will give reasonable notice before a change that materially reduces a paid core feature, when practical. Preview or beta features may change or stop without notice.

4. Workspace data

As between Opright and the workspace customer, the workspace customer owns its business data. You grant Opright a limited, nonexclusive license to host, copy, transmit, display, back up, and otherwise process workspace data only to operate, secure, support, and improve the service; comply with law; and follow documented instructions.

You must have a lawful basis and any required notices or consents before entering information about customers, employees, or other people. Do not upload information the service is not designed to protect, including Social Security numbers, government identification images, full payment-card data, medical records, or account passwords.

5. Privacy and data processing

The Privacy Policy explains Opright’s own handling of personal information. When Opright processes customer, employee, or operational information for a workspace, the Data Processing Addendum applies and is incorporated into these Terms.

6. Plans, trials, and billing

Free, Pro, the optional 14-day Pro trial, monthly user-slot billing, automatic renewal, cancellation, failed-payment grace period, taxes, and refund rules are described in the Subscription, Billing, Cancellation & Refund Policy, which is incorporated into these Terms. Paid checkout remains unavailable until Opright’s Stripe subscription billing is ready. When available, checkout displays the selected plan, billing interval, and amount before an owner confirms a purchase.

7. Payments between businesses and customers

Connected payment services are provided by Stripe under separate Stripe agreements. The connected business is responsible for its services, prices, invoices, refunds, disputes, chargebacks, taxes, and legal compliance. The Opright Payments & Stripe Connect Terms apply to these features.

8. Acceptable use

You must follow the Acceptable Use Policy. You may not use Opright for unlawful, fraudulent, abusive, infringing, deceptive, or security-threatening activity, or interfere with the service or another workspace.

9. Third-party services

Opright relies on third parties listed on the Subprocessor List. Optional links may open services such as Stripe, mapping providers, or device platforms. Their terms and privacy practices apply when you use them. Opright is not responsible for a third party’s independent service, but remains responsible for its own obligations under these Terms.

10. Opright property and feedback

Opright and its licensors retain all rights in the software, design, documentation, trademarks, and other service materials, excluding workspace data. Subject to these Terms, Opright grants you a limited, revocable, nontransferable right to use the service for internal business purposes. If you provide feedback, you allow Opright to use it without restriction or payment, without identifying you publicly.

11. Suspension and termination

You may stop using Opright at any time. Workspace owners can cancel subscriptions and request workspace deletion. We may suspend access when reasonably necessary to address a security threat, illegal use, material breach, nonpayment after the stated grace period, or legal requirement. When practical, we will give notice and a chance to cure.

After a deletion request, Opright normally provides a 30-day recovery period and then removes or de-identifies workspace data, subject to backups and records that must be retained for security, billing, fraud prevention, dispute resolution, or law. Export important data before deletion.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPRIGHT IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OPRIGHT DOES NOT GUARANTEE UNINTERRUPTED OPERATION, A PARTICULAR BUSINESS RESULT, OR THAT USER-PROVIDED RECORDS ARE COMPLETE OR LEGALLY SUFFICIENT. These disclaimers do not limit rights that cannot lawfully be waived.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA. OPRIGHT’S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID OPRIGHT DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

The limits do not apply where prohibited by law or to fraud, willful misconduct, a party’s infringement of the other party’s intellectual property, or obligations that cannot legally be limited.

14. Indemnification

To the extent permitted by law, a business customer will defend and indemnify Opright against third-party claims arising from that customer’s field services, workspace data, unlawful instructions, violation of these Terms, or infringement caused by material the customer supplies. Opright will promptly notify the customer and reasonably cooperate; the customer may not settle a claim in a way that admits wrongdoing by Opright or imposes obligations on Opright without consent.

15. Disputes and governing law

Before filing a claim, contact support@mail.oprightapp.com and allow 30 days for an informal resolution, unless urgent relief is needed. These Terms are governed by applicable U.S. federal law and the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Unless law requires otherwise, claims may be brought in the state or federal courts with jurisdiction over Opright’s operator in Pennsylvania. Nothing here prevents either party from using small-claims court when eligible.

16. General terms

Neither party is liable for delay caused by events beyond reasonable control. You may not assign these Terms without Opright’s consent, except with a merger or sale of substantially all assets; Opright may assign them as part of a reorganization or sale. If a provision is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. These Terms and incorporated policies are the entire agreement about the service.

17. Changes and contact

We may update these Terms. Material changes will receive reasonable advance notice through the app or account email when practical. Continued use after the effective date means acceptance; when required, Opright will request affirmative acceptance.
